Ambassador Agreement
The short version. You make genuine videos about Um Out and keep using it. We give you the local editing tools free, a discount code your audience can use, early access, and a say in what we build. Nobody pays anybody. Either of us can walk away, and we tell you first unless something serious has happened.
1. What the programme gives you
While you are an active ambassador you get a free licence to the Um Out editing tools that run on your own computer, on two machines. It is earned when your first qualifying video goes live, and there is no renewal date and no fee at any point.
Hosted Um Bot is not included. Every hosted request costs us money to answer, so it stays on the paid plan. You can run the assistant on your own OpenAI, Anthropic or Google Gemini key, which your licence covers, and you pay that provider directly.
You also get a personal 10% discount code for your audience, early access to tools before they are released, and direct input on what we build next. You earn no commission, revenue share or payment of any kind, including when somebody uses your code.
2. The qualifying video
A qualifying video is public, stays public, and is a genuine piece of content about Um Out. A tutorial, a review, a workflow video, or a section inside something larger all count. A ten second clip posted to satisfy this clause and deleted afterwards does not.
If the video is taken down, made private, or set to unlisted within a reasonable period, it has not qualified, and we will ask you about it before doing anything else.
After the first video we ask for roughly one piece of content a month that features Um Out. That can be a full video, a short, or a segment in something you were making anyway. We are not counting frames, but a programme member who stops posting is no longer active.
3. Your licence
The licence is personal to you by name and runs on two machines that you use. It is not transferable and it may not be shared, lent, sold, or passed to a team, an editor, a client, or anyone else. That includes sharing account credentials.
If you need it on a replacement machine, move it from your account page or ask us.
4. Things you see early
Unreleased features, roadmap conversations, builds, and anything else shared with you as early access are confidential. Do not publish, demonstrate, stream, or discuss them publicly before that feature is released.
This is the trade for being shown work that is not finished, and it is the only reason we can show it to you at all. It continues to apply after you leave the programme, for anything that has still not shipped.
5. Saying that this is a partnership
You are responsible for disclosing the partnership in promotional content, clearly and where people will see it, as the FTC requires. We will never ask you to leave it out or bury it.
Promoting Um Out without disclosing the relationship is grounds for ending this agreement immediately.
6. Conduct
Four things we ask you not to do:
- Make misleading claims about what Um Out does. If you are unsure whether something is accurate, ask us and you will get a straight answer.
- Bid on Um Out branded search terms in paid advertising.
- Post your discount code to coupon aggregator, deal, or resale sites.
- Publish content that would reasonably bring the product into disrepute.
7. Your content stays yours
You own everything you make. Nothing here changes that.
You give us permission to share, repost, clip, and quote your Um Out content for marketing, with credit to you and a link where the format allows one. If you would rather we did not use a particular piece, tell us and we will not.
8. Ending it
Either of us can end this at any time. Normally that means notice and a reason, from whichever side is ending it, and you never owe us an explanation for leaving.
We may end it immediately and without notice for a serious breach, which means specifically: promoting Um Out without disclosing the partnership, breaking confidentiality, sharing or reselling your licence, or misrepresenting what the product does.
When the partnership ends, so do the licence, the discount code, early access, and roadmap input. Projects you have already edited are unaffected, and any video you have made remains yours to keep up or take down as you choose.
9. Changes to this agreement
We may update these terms. Active ambassadors get reasonable notice of a change before it takes effect, and if you do not want to continue under the new terms you can leave.
10. The basics
This agreement is governed by the laws of the State of North Dakota, USA.
You must be at least 13 years old to take part. If you are under 18, a parent or guardian needs to read this agreement and approve it before you accept.
If any part of this turns out to be unenforceable, the rest still stands.
Acceptance
Accepting means replying to confirm, or signing, with the three lines below. Keep a copy: we will send you one either way.
