Terms of Service
Plain-English summary. Um Out gives you a limited license to use the product under your plan. You own your footage and edits. Keep your account and API keys secure, preview proposed edits, follow the Acceptable Use Policy, and do not expect an early-stage editing tool to replace your professional judgment or backups.
These Terms of Service ("Terms") form an agreement between you and the operator of Um Out ("Um Out," "we," "us," or "our") for the Um Out website, account, companion application, Premiere Pro panel, hosted features, and related services (together, the "Service"). By creating an account, starting a trial, purchasing, or using the Service, you agree to these Terms and the linked policies.
1. Eligibility and authority
You must be legally able to enter this agreement. If you use Um Out for a company, school, or other organization, you represent that you may bind it, and "you" includes that organization. The Service is not directed to children under 13.
2. Accounts and security
Provide accurate information, use a unique password, and protect your devices and credentials. You are responsible for activity under your account unless caused by our breach. Tell us promptly at hello@umout.ai if you suspect unauthorized use. We may require email or device verification and may refuse fraudulent or abusive registrations.
3. Trial, plans, billing, and cancellation
The free trial lasts 7 days from first activation unless stated otherwise. One-time and subscription plans include the features shown at checkout. Hosted AI may be subject to reasonable technical or usage safeguards disclosed before purchase. Prices and taxes are shown at checkout.
Subscriptions renew automatically until canceled. You authorize Stripe to charge the selected payment method at each renewal. Cancel through the billing portal before the renewal date to avoid the next charge. Access usually continues through the paid period. Refunds are governed by the Refund Policy.
4. Software license and devices
Subject to payment and these Terms, Um Out grants you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the software on the number of devices allowed by your plan. The license is for use by you or the licensed seat, not resale, sublicensing, shared activation, or operating a public editing service for unrelated users.
The companion periodically obtains a signed license lease. Eligible features may continue for up to seven days without a successful refresh. The grace period supports temporary connectivity loss; it is not an extra paid period and does not prevent revocation for fraud, chargeback, abuse, or terminated access.
5. Your content and edits
You retain ownership of your footage, audio, project files, prompts, and resulting edits. You grant us only the rights reasonably necessary to process content for a hosted feature you intentionally request, operate the Service, prevent abuse, and provide support. Local features are intended to keep source media on your computer.
You are responsible for having the rights to edit, transcribe, upload, and publish your content. Always keep project backups and review proposed changes. Automated silence detection, transcription, captions, B-roll suggestions, reframing, and AI analysis can be wrong.
6. Bring-your-own keys and third parties
If you connect your own AI or media-provider account, your relationship with that provider is governed by its terms and pricing. You are responsible for its charges and acceptable use. Um Out does not promise continued compatibility with every external provider. Adobe, Premiere Pro, Stripe, Supabase, Vercel, Formspree, Tawk.to, and other named services are independent third parties; Um Out is not affiliated with or endorsed by Adobe.
7. Ownership
Um Out and its licensors own the Service, software, interface, documentation, trademarks, and related technology, excluding your content. Feedback may be used without obligation, but we will not claim ownership of your footage or edits.
8. Acceptable use
You must follow the Acceptable Use Policy. Among other things, do not attack the Service, evade license limits, distribute malware, violate privacy or intellectual-property rights, or use the product for unlawful content or deception.
9. Updates, beta features, and availability
We may update or discontinue features to improve safety, compatibility, or reliability. Beta features may be incomplete, change materially, or fail. We do not guarantee uninterrupted availability, compatibility with every Premiere version, or that an automated result is suitable for publication.
10. Suspension and termination
You may stop using the Service and cancel a subscription at any time. We may suspend or terminate access for material breach, abuse, fraud, nonpayment, legal risk, or threats to the Service. When practical, we will provide notice and a chance to cure. Sections that by nature should survive—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—remain in effect.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing here excludes warranties that cannot legally be excluded.
12. Limitation of liability
To the fullest extent permitted by law, Um Out will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, footage, projects, or business opportunity. Our total liability arising from the Service will not exceed the greater of (a) the amount you paid Um Out during the 12 months before the event giving rise to the claim or (b) US $100. These limits do not apply where prohibited or to liability that cannot legally be limited.
13. Indemnity
To the extent permitted by law, you will defend and indemnify Um Out from third-party claims arising from your unlawful content, violation of another person's rights, or material breach of these Terms. This does not apply to the extent a claim was caused by Um Out.
14. Governing terms and disputes
Before filing a formal claim, contact hello@umout.ai and allow 30 days for a good-faith attempt to resolve it. These Terms are governed by the laws applicable where the Um Out operator is established, without regard to conflict-of-law rules, except that mandatory consumer protections in your home jurisdiction remain available. A final business entity and forum designation will be published before paid public launch.
15. Changes and contact
We may update these Terms. Material changes will be posted with a new effective date and, where required, additional notice. Continued use after the effective date constitutes acceptance, except where law requires explicit consent. Questions: hello@umout.ai.
